Professional Audio Equipment Rental Agreement
This Professional Audio Equipment Rental Agreement (“Agreement”) is entered into between Euro Electronic Space (“Company”, “we”, “us”) and the individual or business identified in the applicable rental quotation, invoice or order (“Renter” or “Client”).
This Agreement sets out the terms under which professional audio equipment is supplied temporarily to the Renter. The equipment covered by the rental is identified in the corresponding rental order, quotation or invoice.
1. Rental Equipment
Euro Electronic Space agrees to provide the Renter with the professional audio equipment specified in the confirmed rental order.
Rental equipment may include loudspeakers, subwoofers, amplifiers, digital mixing consoles, DSP processors, cables, flightcases, rigging accessories and other professional audio equipment.
All rented equipment remains the property of Euro Electronic Space throughout the rental period. Payment of rental fees does not give the Renter ownership rights over any equipment.
The Renter should check the equipment and listed accessories when receiving them and report any obvious discrepancy or pre-existing damage promptly.
2. Rental Period
The rental begins on the start date and ends on the return date specified in the confirmed rental documentation.
The Renter agrees to return the equipment no later than the agreed return date and time.
If additional rental time is required, the Renter must contact Euro Electronic Space in advance. An extension is valid only after it has been approved by us in writing.
Continued possession of equipment beyond the agreed rental period does not automatically constitute approval of an extension.
3. Rental Charges and Payment
All rental prices will be stated in the applicable quotation, order confirmation or invoice.
Payments may be quoted in Euro (€) or another currency expressly agreed for the transaction.
Unless different payment terms have been agreed in writing, the required rental charges must be paid before the equipment is released or dispatched.
Additional charges may apply for services such as:
- Transportation
- Delivery and collection
- Installation
- Technical personnel
- Additional rental days
- Specialist freight
- Replacement of missing accessories
- Repair of damage attributable to the Renter
Any applicable taxes will be handled according to the relevant invoice and legal requirements.
4. Security Deposit
Euro Electronic Space may require a security deposit before releasing certain rental equipment.
The amount, payment method and applicable conditions will be communicated before the rental is confirmed.
Where a refundable security deposit is required, it may be retained temporarily until the returned equipment has been checked.
Subject to applicable law and the rental terms, reasonable amounts may be deducted for qualifying unpaid rental charges, missing equipment or damage for which the Renter is responsible. Any remaining refundable balance will then be returned.
5. Delivery, Collection and Return
Delivery and collection arrangements must be agreed before the rental begins.
Depending on the order, equipment may be:
Delivered to the Renter
Collected by an authorized representative
or
Transported through an agreed logistics provider.
Where installation, setup or collection services are included, these will be identified separately in the rental documentation.
The Renter must ensure that the delivery location is accessible and suitable for the equipment and transport method agreed.
At the end of the rental period, all equipment and included accessories must be returned in the agreed manner.
6. Renter’s Responsibilities
From the time the Renter receives the equipment until it is returned or collected in accordance with the Agreement, the Renter is responsible for its reasonable care, custody and security.
The Renter agrees to:
- Use the equipment only for its intended professional purpose.
- Follow relevant manufacturer operating and safety instructions.
- Protect equipment from unauthorized use, theft and avoidable damage.
- Keep equipment reasonably protected from unsuitable environmental conditions.
- Ensure that only suitably competent persons operate specialist equipment.
- Return all equipment and accessories supplied with the rental.
- Inform Euro Electronic Space promptly about significant faults, damage, loss or theft.
The equipment must not be intentionally modified, dismantled or materially altered without prior authorization.
7. Sub-Rental and Transfer
The Renter may not sell, pledge, permanently transfer or otherwise dispose of rented equipment.
The equipment may not be sub-rented or transferred into another party’s possession outside the agreed rental arrangements without prior written approval from Euro Electronic Space.
Where permission is provided, the original Renter remains responsible for complying with this Agreement unless expressly agreed otherwise in writing.
8. Professional Installation and Operation
Certain professional audio equipment requires specialist knowledge to operate safely.
The Renter is responsible for ensuring that equipment is installed, configured and operated by appropriately competent personnel.
Particular care must be taken with equipment involving:
- High electrical power
- Heavy loudspeaker systems
- Suspended loudspeakers
- Rigging systems
- High sound-pressure levels
- Temporary electrical distribution
- Outdoor installations
The Renter must comply with applicable safety requirements at the event or installation location.
9. Rigging and Suspended Equipment
Any loudspeaker or equipment that will be suspended above people or structures must be rigged by appropriately qualified or competent personnel using suitable hardware and methods.
Manufacturer specifications, load limits and applicable safety requirements must be followed.
Rental of rigging-capable equipment does not by itself mean that Euro Electronic Space has approved the Renter’s proposed rigging design or installation.
10. Damage to Equipment
The Renter must take reasonable care of all rented equipment.
Where equipment is damaged during the rental period due to misuse, negligence, unauthorized modification or another circumstance for which the Renter is legally responsible, the Renter may be charged the reasonable cost of repair.
Normal wear resulting from proper use will not automatically be treated as chargeable damage.
Euro Electronic Space may inspect returned equipment before determining whether repair charges are applicable.
11. Loss or Theft
Any loss or theft must be reported to Euro Electronic Space as soon as reasonably possible.
Where theft occurs, the Renter may also be required to report the incident to the appropriate authorities and provide relevant documentation.
Subject to applicable law and the circumstances of the incident, the Renter may be responsible for the reasonable replacement value of equipment lost or stolen while under the Renter’s responsibility.
12. Equipment Malfunction
If rented equipment develops a fault or stops functioning correctly, the Renter should:
Stop using the equipment where continued operation could cause damage or create a safety risk, and contact Euro Electronic Space promptly.
The Renter should not undertake substantial repairs or internal modifications without authorization.
Where reasonably possible, we will assess the problem and determine an appropriate solution according to the circumstances and availability of replacement equipment.
13. Replacement Equipment
If rented equipment experiences a qualifying technical failure that is not attributable to the Renter, Euro Electronic Space may, where reasonably practicable, provide equivalent or suitable replacement equipment.
Replacement equipment depends on availability and the location of the rental.
We cannot guarantee that an identical model will always be available.
14. Insurance
Depending on the value and nature of the rental, Euro Electronic Space may require the Renter to maintain appropriate insurance for rented equipment.
Where insurance is required, the Renter may need to provide evidence of suitable coverage before the equipment is released.
Insurance requirements, where applicable, will be communicated as part of the rental arrangements.
15. Cancellation
Unless different cancellation conditions are stated in the rental quotation or order:
A cancellation received at least 48 hours before the scheduled rental start date may qualify for a refund of eligible prepaid rental charges.
Cancellations received less than 48 hours before the rental begins may be subject to reasonable cancellation charges, particularly where equipment has already been reserved, prepared, transported or specialist services have been arranged.
Any mandatory cancellation rights available under applicable law remain unaffected.
16. Late Returns
Equipment must be returned by the date and time specified in the rental documentation.
If equipment is returned late without an approved extension, additional rental charges may apply.
The amount will depend on the agreed rental rate and the length of the delay.
The Renter should contact Euro Electronic Space as soon as possible if circumstances prevent an on-time return.
17. Cleaning and Excessive Condition Issues
Professional equipment is expected to experience reasonable wear during normal use.
However, additional reasonable cleaning or restoration charges may apply if equipment is returned in an unusually poor condition resulting from circumstances beyond normal professional use, where legally permitted.
Examples may include excessive contamination or unauthorized painting, labeling or permanent alteration.
18. Liability
Euro Electronic Space will provide equipment according to the agreed rental arrangements and applicable legal requirements.
The Renter remains responsible for the manner in which equipment is installed, configured and operated while under the Renter’s control.
To the extent permitted by applicable law, Euro Electronic Space will not be responsible for indirect or consequential business losses arising from improper use, unauthorized modification or circumstances outside our reasonable control.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
19. Events and Production Interruptions
Professional events can depend on numerous systems, personnel and external factors.
Unless expressly agreed otherwise, rental of individual audio equipment does not constitute a guarantee that an entire event, production or installation will operate without interruption.
The Renter should maintain appropriate contingency arrangements for critical productions.
20. Force Majeure
Neither party will be responsible for a failure to perform an obligation where performance is prevented by circumstances beyond that party’s reasonable control, to the extent provided by applicable law.
Such circumstances may include severe weather, natural disasters, government restrictions, major transport disruption, strikes or other exceptional events.
The affected party should communicate the situation as soon as reasonably possible.
21. Termination of Rental
Euro Electronic Space may terminate a rental where permitted by law if there is a serious breach of this Agreement, including circumstances involving:
Non-payment
Unauthorized disposal or transfer of equipment
Deliberate misuse
or a substantial risk to the rented equipment.
Where a rental is terminated, the Renter may be required to make the equipment available for prompt return or collection.
22. Governing Law and Jurisdiction
This Agreement is governed by the laws of France, subject to any mandatory legal protections that apply to the Renter.
Where legally enforceable, disputes relating to a business-to-business rental will be subject to the competent courts in Paris, France.
Nothing in this provision removes jurisdictional or consumer rights that cannot legally be excluded.
23. Entire Rental Agreement
The rental relationship consists of this Agreement together with the applicable:
Rental quotation
Equipment list
Order confirmation
Invoice
and any additional written conditions expressly agreed between Euro Electronic Space and the Renter.
If special conditions apply to a particular rental, they should be recorded in writing.
24. Acceptance of Rental Terms
By confirming the rental order, paying the applicable rental charges or accepting possession of the equipment, the Renter acknowledges these rental conditions to the extent permitted by applicable law.
The Renter also confirms that the information supplied for the rental is accurate and that the person accepting the Agreement has authority to do so where the Renter is a company or organization.
